By accessing and using the DVNKS website, services, and platforms (collectively "Services"), you agree to be bound by these Terms of Use. If you do not agree with any part of these terms, you may not use our Services.

2. Services Description

DVNKS provides enterprise software solutions including:

• Inventory Management Systems
• Order Tracking & Fulfillment Solutions
• Excel Replacement Platforms
• Working Capital Optimization Tools
• ZATCA Compliance Solutions
• Business Process Automation
• Consulting and Integration Services

We reserve the right to modify, suspend, or discontinue Services at any time with notice.

3. User Eligibility

By using our Services, you represent and warrant that:

• You are at least 18 years old
• You have legal authority to enter into this agreement
• You are not located in a jurisdiction where our Services are prohibited
• You have not been previously terminated from DVNKS Services
• You will comply with all applicable laws and regulations

4. Account Registration & Security

4.1 Account Creation

You are responsible for providing accurate, complete, and truthful information during registration. You must keep your account credentials confidential and notify us immediately of any unauthorized access.

4.2 Account Responsibility

You are solely responsible for all activities under your account. DVNKS is not liable for unauthorized use unless due to our negligence.

4.3 Account Termination

We may terminate your account if:

• You violate these Terms of Use
• You engage in fraudulent or illegal activities
• You breach any agreement with DVNKS
• Your usage poses security risks to our systems

5. Acceptable Use Policy

You agree NOT to use our Services for:

• Illegal activities or violation of applicable laws
• Harassment, threats, or abuse of other users
• Phishing, fraud, or deceptive practices
• Malware distribution, hacking, or system interference
• Intellectual property infringement
• Spam, unsolicited communications, or abuse
• Competitive intelligence gathering or reverse engineering
• Circumventing security or access controls
• Reselling or distributing our Services without authorization
• Violating privacy of others or accessing unauthorized data

6. Intellectual Property Rights

6.1 DVNKS IP

All content, code, designs, logos, and materials on DVNKS Services are owned by or licensed to DVNKS Technologies Private Limited. You may not reproduce, modify, or distribute without explicit written permission.

6.2 Your Content

You retain ownership of content you create (data, documents, files). By uploading to DVNKS, you grant us a license to store, process, and display your content to provide Services.

6.3 License Grant

DVNKS grants you a limited, non-exclusive, revocable license to use our Services in accordance with these Terms. This license terminates upon account termination.

7. Limitation of Liability

7.1 "As-Is" Disclaimer

Our Services are provided "AS IS" and "AS AVAILABLE" without warranties of any kind, express or implied, including:

• Implied warranties of merchantability
• Fitness for a particular purpose
• Non-infringement
• Accuracy or completeness

7.2 Liability Caps

DVNKS's total liability for any claims arising from use of Services shall not exceed the amount you paid DVNKS in the 12 months preceding the claim, or ₹1,000, whichever is greater.

7.3 Excluded Damages

In no event shall DVNKS be liable for:

• Indirect, incidental, special, or consequential damages
• Lost profits, revenue, or business opportunities
• Lost data or business interruption
• Reputational harm
• Damages resulting from user actions or third-party services

7.4 Exceptions to Limitations

These limitations do not apply to:

• Indemnification obligations
• Gross negligence or willful misconduct
• Violations of applicable law that cannot be limited
• Death or personal injury claims

8. Warranty Disclaimer

We make no warranty that:

• Services will be uninterrupted or error-free
• Defects will be corrected
• Services will meet your specific needs
• Services comply with laws in your jurisdiction

You assume all risk from your use of Services.

9. Indemnification

You agree to indemnify and hold harmless DVNKS, its officers, directors, employees, and agents from all claims, losses, damages, and expenses (including legal fees) arising from:

• Your violation of these Terms
• Your use of our Services
• Your content or data
• Infringement of third-party rights by you
• Your actions or negligence

10. Payment Terms

10.1 Fees & Pricing

You agree to pay all fees in the pricing plan you select. Prices are in Indian Rupees (₹) unless otherwise stated. All fees are exclusive of applicable taxes.

10.2 Billing & Payment

• Invoices are issued monthly, quarterly, or annually based on your plan
• Payment must be received within 30 days of invoice date
• We accept bank transfers, credit cards, and payment gateways
• Failed payment may result in service suspension

10.3 Auto-Renewal

Subscription plans automatically renew unless cancelled 30 days before renewal date. You are responsible for cancelling to avoid renewal charges.

10.4 Taxes

You are responsible for applicable taxes (GST, VAT, etc.). DVNKS will collect and remit taxes as required by law.

11. Refund Policy

12. Data Security & Backup

While we implement security measures, DVNKS does not guarantee data security or protection from unauthorized access. You are responsible for:

• Creating regular backups of your data
• Implementing your own security measures
• Monitoring account activity
• Reporting security breaches immediately

13. Service Level Agreement (SLA)

DVNKS aims to provide 99.5% uptime for Services. However:

• We do not guarantee specific uptime
• Scheduled maintenance is excluded from SLA
• Outages due to third parties are not covered
• SLA credits are limited to 1 month of service fees

14. Third-Party Services & Integrations

Our Services may integrate with third-party platforms (Stripe, Razorpay, APIs, etc.). These third parties:

• Operate under their own terms and conditions
• Are not under DVNKS control
• May change or discontinue services
• Are not our responsibility or liability

Review their terms and privacy policies before use.

15. Modifications to Terms

DVNKS may update these Terms of Use at any time. We will notify you of material changes via email or prominent website notice. Continued use after changes constitutes acceptance.

16. Dispute Resolution

16.1 Governing Law

These Terms are governed by the laws of India, specifically the jurisdiction of Navi Mumbai, Maharashtra.

16.2 Arbitration

Any disputes arising from these Terms or our Services shall be resolved through binding arbitration under the Arbitration and Conciliation Act, 1996. The arbitration shall be conducted in English in Navi Mumbai.

16.3 No Class Actions

You agree not to pursue disputes as a class action or representative action. Disputes must be handled individually.

17. Termination

17.1 Termination by User

You may terminate your account at any time by contacting support@dvnks.com. Upon termination:

• Your account access is revoked immediately
• Data may be deleted after 30 days (see Data Retention Policy)
• Prepaid fees are non-refundable unless covered by refund policy

17.2 Termination by DVNKS

DVNKS may terminate your access immediately for:

• Violation of these Terms
• Non-payment of fees (after 30-day notice)
• Illegal activities
• Breach of security or abuse

17.3 Effects of Termination

Upon termination, all rights granted to you are revoked and you must cease use immediately.

18. Export Compliance

Our Services may be subject to export control laws. You agree not to export or re-export Services to prohibited countries or entities as per Indian export laws.

19. Severability

If any provision of these Terms is found to be unenforceable, that provision shall be modified to the minimum extent necessary, and remaining terms shall remain in full effect.
